exists a non-profit association governed by these Statutes and within the meaning of Articles 60 et seq. of the Swiss Civil Code. It is independent in every respect.<\/span><\/li><li><span style=\"font-weight: 400;\">The registered seat of the association is in Zurich.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 2<\/span><\/h2><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">MASS-VOLL! has as its purpose to give a voice to all people \u2014 particularly the young \u2014 and to represent their concerns and interests in public discourse with regard to their constitutional, inalienable fundamental rights. To this end, MASS-VOLL! promotes a balanced, undistorted, peaceful, and fact-based discourse in the fields of medicine, science, and politics, with the particular involvement of young people.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">MASS-VOLL! strives for a liberal order in the state, society, and economy. The purpose of MASS-VOLL! is to develop policies respecting and promoting fundamental rights, strengthen the freedom of the individual, rely on personal responsibility, individual initiative and solidarity, while respecting federalism. The policies of MASS-VOLL! are guided by the values of freedom, community spirit, and progress.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">MASS-VOLL! is guided by sovereignism and fights for the sovereignty of the individual, the people, and the state.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The association pursues no commercial purposes and does not seek to make a profit.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 3<\/span><\/h2><ol><li><span style=\"font-weight: 400;\">The association may cooperate with other organisations provided their orientation and purposes are in alignment with those of consists of active members, passive members, honorary members and patrons.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 5<\/span><\/h2><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">MASS-VOLL! is open to all people who affirm and commit to constitutional, inalienable fundamental rights.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Applications for membership shall be addressed to the executive board. The executive board decides on the admission of active members and passive members, as well as on the conferral of honorary member status and patron status, by simple majority and with at least one vote from the presidency. In the event of a tie, the presidency shall have the casting vote.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The executive board may reject applications for membership without stating reasons.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any natural or legal person who wishes and is able to contribute to the pursuit of the association\u2019s purposes may become a passive member without voting rights. Membership becomes legally effective upon admission by the executive board and receipt of the membership fee.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any natural person who makes a substantial contribution to the pursuit of the association\u2019s purposes through the dedicated use of particular individual skills and abilities may become an active member with voting rights. Active membership becomes legally effective upon appointment by the executive board.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 6<\/span><\/h2><ol><li class=\"list-item-21\"><span style=\"font-weight: 400;\">Natural persons who have rendered outstanding services to MASS-VOLL! may be awarded the status of Honorary Member.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 7<\/span><\/h2><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Natural and legal persons who provide MASS-VOLL! with substantial financial support may be granted the status of patron.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Patrons shall be kept informed about the association\u2019s activities and invited to its events.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 8<\/span><\/h2><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">In the case of natural persons, membership terminates upon resignation, expulsion, or death.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">In the case of legal persons, membership terminates upon resignation, expulsion, or dissolution.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Resignation from the association is permissible provided it is announced with six months\u2019 notice to the end of the calendar year.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 9<\/span><\/h2><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">A member may at any time be expelled from the association without the need to state reasons. It is composed of the active members.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 12<\/span><\/h2><ol><li>The General Assembly shall have the following inalienable duties:<br \/><ol type=\"a\"><li>Approval of the minutes of the last General Assembly;<\/li><li>Approval of the Annual Report of the Executive Board;<\/li><li>Receipt of the auditors&#8217; report and approval of the annual accounts;<\/li><li>Approval of the annual budget;<\/li><li>Election of the members of the Board of Directors and the Auditors;<\/li><li>To adopt and amend the Articles of Association;<\/li><li>Determination of the membership fees;<\/li><li>Treatment of the exclusion appeals;<\/li><li>Decision on the discharge of the members of the Board of Directors;<\/li><li>Determination of the fee and expense regulations;<\/li><li>possible dissolution of the Association.<\/li><\/ol><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 13<\/span><\/h2><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">At the general assembly, every active member shall have one vote, the right to submit motions, and the right to stand for election.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Resolutions shall be adopted by simple majority.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Passive members, honorary members and patrons shall be invited to the general assembly but shall have no voting rights.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Amendments to the statutes shall require the approval of \u2154 of the active members present. Adopted amendments to the statutes shall enter into force immediately.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 14<\/span><\/h2><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The general assembly shall be held once a year and shall be convened by the executive board.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Members shall be invited to the general assembly in writing, together with the agenda, no later than two weeks in advance.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The presidency may convene an extraordinary general assembly. The invitation thereto shall be issued at least 14 days before the assembly and may be sent electronically.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The invitation to an extraordinary and highly urgent general assembly convened by the executive board shall be issued at least 72 hours before the meeting and may be sent electronically.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">One-fifth of the active members may request the convening of an extraordinary general assembly. The invitation thereto shall be issued at least 14 days before the meeting and may be sent electronically.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 15<\/span><\/h2><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The presidency shall chair the general assembly. In the event of its inability to attend, it shall appoint a substitute chairperson.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">At the beginning of the general assembly, the executive board shall draw up an attendance list, verify the active members and issue them with the voting materials.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The Presidency shall decide on the timing and order of votes on substantive motions.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Resolutions on matters that have not been duly announced in the agenda may only be adopted if these statutes expressly so permit.<\/span><\/li><li>\u00a0<\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 16<\/span><\/h2><ol><li class=\"list-item-38\">The Executive Board shall be composed of at least four active members, namely:<br \/><ol type=\"a\"><li>A Presidium consisting of at least one person;<\/li><li>a treasurer;<\/li><li>an actuary;<\/li><li>at least one other person in charge.<\/li><\/ol><\/li><li class=\"list-item-5\">The term of office shall be three years.<\/li><li>Re-elections are possible.<p>\u00a0<\/p><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 17<\/span><\/h2><ol><li>The executive board shall:<br \/>a.\u200b Conduct the day-to-day affairs of the association;<br \/>b.\u200b take the measures necessary to achieve the purposes of the association;<br \/>c.\u200b administer the association\u2019s assets and keep its accounts;<br \/>d.\u200b adopt resolutions by simple majority and communicate material resolutions<br \/>to the active members within a reasonable period of time; such<br \/>communication may be conveyed electronically;<br \/>e.\u200b meet as often as the affairs of the association require;<br \/>f.\u200b ensure compliance with the statutes and any regulations adopted;<br \/>g.\u200b convene general assemblies;<br \/>h.\u200b delegate powers to committees appointed by it;<br \/>i.\u200b process applications for membership and initiate expulsion procedures;<br \/>j.\u200b engage or commission persons for the achievement of the association\u2019s<br \/>purposes against reasonable remuneration.<p>\u00a0<\/p><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 18<\/span><\/h2><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The presidency represents the association externally.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The association shall be bound by the joint signature of the president together with one other member of the executive board.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">If the president is unable to act, the association shall be bound by the joint signature of two members of the Executive Board.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 19<\/span><\/h2><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The members of the executive board, as well as all other officers of the association, perform their duties on an unpaid, voluntary basis and are, in principle, entitled only to reimbursement of their actual expenses and out-of-pocket costs. Reasonable compensation may be paid for exceptional services rendered by individual executive board members or officers.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Personal liability of the members of the executive board is excluded in cases of slight negligence.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 20<\/span><\/h2><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Minutes shall be kept of all meetings of the various organs of the association.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Provided no member of the executive board requests oral deliberation, resolutions may validly be adopted by circular means (including by e-mail) or using suitable electronic tools.<\/span><\/li><\/ol><h2><span style=\"color: #ffffff;\">Art. 21<\/span><\/h2><ol><li><span style=\"font-weight: 400;\">The general assembly shall elect at least one auditor (natural person) or a legal entity to audit the accounts, to submit a report to the general assembly and to make the corresponding any kind, utilise membership fees and, where applicable, income from its own events and from subordinate economic activities. If fewer than three-quarters of all active members attend the meeting, a second general assembly shall be held within one month. At this second meeting, the association may be dissolved by a qualified majority of two-thirds even if fewer than three-quarters of the members are present. In the event of dissolution, the association\u2019s assets shall be transferred to an institution that supports victims of the COVID-19 measures.<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Any remaining assets shall irrevocably and exclusively pass to a non-profit organisation pursuing similar purposes.<\/span><\/li><\/ol><h2><span
